Terms of Service

These Terms are provided for general information. They are not legal advice. You should consult a qualified
lawyer before relying on them for your business.
These Terms of Service ("Terms") govern your access to and use of the VroomCalls website, platform, and
related services (collectively, the "Service") operated by Hoshi Brands ("VroomCalls", "we", "us", or "our").
By creating an account, subscribing, or otherwise using the Service, you
agree to these Terms and to our
Privacy Policy.
1. Who We Are and Definitions
VroomCalls provides an AI-powered voice receptionist and call-handling platform designed primarily for auto
glass and windshield repair shops in the United States.
- "Customer" or "Shop" means the business entity or individual that registers for and uses the Service.
- "Caller" means any person who places a phone call handled through the Service on behalf of a Customer.
- "Account" means the Customer's registered profile, dashboard, and associated configuration.
- "Content" means information, scripts, prompts, settings, and other materials you provide or configure in the Service.
- "Caller Data" means personal information relating to Callers that is collected, recorded, transcribed, or processed through the Service on your behalf.
2. Service Overview
The Service may include, without limitation:
- AI-assisted answering of inbound phone calls on your behalf, including after-hours and overflow handling.
- Call routing based on your configuration, including escalation to a human phone number you designate.
- Recording, transcription, and summarization of calls handled by the AI receptionist.
- Capture of lead and job details you configure (for example, vehicle information, insurance details, service location, and callback preferences).
- Delivery of lead summaries and notifications to you by SMS, email, or through your dashboard.
- Provisioning of telephony routing numbers and related setup support.
- A self-service dashboard and AI builder for configuring your receptionist, reviewing leads, and managing your subscription.
Features may change over time. We may add, modify, or discontinue features with reasonable notice where practicable.
3. Eligibility and Accounts
- The Service is intended for business use. You must be at least 18 years old and legally able to enter into a binding agreement.
- You must provide accurate and complete registration information, including business name, contact details, and billing information.
- Access to your Account may be provided through passwordless magic-link login sent to your registered email address. You are responsible for securing access to that email account and for all activity under your Account.
- You must promptly notify us if you suspect unauthorized access to your Account.
- You may not share Account access with unauthorized parties or use the Service on behalf of others without our consent, except as part of your own business operations.
4. Subscriptions, Billing, and Usage
- Paid access to the Service is offered on a recurring subscription basis. Plan details, pricing, and included monthly call minutes are shown at checkout or in your dashboard.
- Subscriptions are billed through a third-party payment processor. By subscribing, you authorize recurring charges to your chosen payment method for the applicable plan and any taxes or fees required by law.
- Included minutes reset at the start of each billing period as shown in your Account. Usage beyond included minutes may be subject to additional charges or plan limits as described at checkout or in your dashboard.
- You may cancel your subscription at any time through the billing portal or by contacting support. Cancellation stops future billing but does not entitle you to a refund for the current billing period except where required by law.
- Fees are generally non-refundable. If you believe a charge was made in error, contact us promptly at
support@vroomcalls.com.
- We may change plan pricing or features with reasonable notice. Price changes apply to subsequent billing periods unless otherwise stated.
- You are responsible for any applicable taxes, duties, or VAT associated with your subscription, except where we are legally required to collect them.
5. Setup, Telephony, and Routing Numbers
- After subscription, we may allocate one or more dedicated routing phone numbers for your Shop. Allocation typically occurs within a few hours but may take up to 24 hours.
- The Service does not require number porting. You configure your existing shop phone line to forward unanswered or after-hours calls to the routing number we provide. You are responsible for configuring forwarding correctly with your phone carrier.
- Routing numbers are assigned for use with the Service and are not sold or transferred to you. We do not guarantee permanent availability of any specific number, area code, or carrier route.
- Upon cancellation or termination, routing numbers may be released and reassigned. You must remove forwarding and update any published contact information accordingly.
- You are responsible for ensuring that your use of telephony features complies with applicable telecommunications laws and carrier requirements in your jurisdiction.
6. Acceptable Use
You agree not to misuse the Service. Without limitation, you must not:
- Use the Service in violation of applicable laws, regulations, or third-party rights.
- Use the Service for unlawful, fraudulent, deceptive, harassing, or harmful purposes.
- Attempt to gain unauthorized access to the Service, other accounts, or underlying systems.
- Interfere with or disrupt the integrity, security, or performance of the Service.
- Reverse engineer, scrape, or extract source code or underlying models except where permitted by law.
- Resell, sublicense, or white-label the Service without our written consent.
- Use the Service to send unsolicited marketing messages or spam.
- Configure the AI receptionist to make false, misleading, or unlawful representations on your behalf.
We may investigate suspected violations and may suspend or terminate access where we reasonably believe a
violation has occurred or the Service is being misused.
7. Customer Responsibilities and Consent
You are solely responsible for your use of the Service and for ensuring that your call-handling workflows
comply with applicable law. Without limiting the foregoing:
- Call recording and disclosure. The Service may record, transcribe, and store calls handled by your AI receptionist. Laws governing call recording and disclosure vary by jurisdiction. In some U.S. states and other locations, all parties to a call must consent to recording. You are responsible for providing any required notices and obtaining any required consents from Callers before or during calls handled through the Service.
- SMS and automated communications. If you use or receive lead notifications by SMS or other automated channels, you are responsible for ensuring that any messages sent to Callers or on your behalf comply with applicable rules, including obtaining required consent where applicable (for example, under the U.S. Telephone Consumer Protection Act and related regulations).
- Accuracy and lawfulness of Content. You are responsible for the accuracy, legality, and appropriateness of welcome messages, prompts, data-collection settings, business-hour rules, and other configuration you provide.
- Caller data. With respect to Caller Data, you act as the data controller (or equivalent under applicable law) and instruct us to process Caller Data on your behalf to provide the Service. Our Privacy Policy describes how we handle personal information in that context.
- Human escalation. You are responsible for maintaining a valid escalation phone number and for answering escalated calls in a timely manner where your configuration requires human follow-up.
8. AI Limitations
The Service uses artificial intelligence and automated systems. You acknowledge and agree that:
- AI-generated responses may be inaccurate, incomplete, or inappropriate in some situations.
- The Service does not provide legal, medical, financial, insurance, or other professional advice.
- We do not guarantee that every call will be answered, every lead captured, or every detail recorded correctly.
- Network conditions, carrier issues, third-party outages, misconfigured forwarding, or caller behavior may affect call quality, routing, or lead delivery.
- You should review lead summaries and transcripts and verify important information before relying on them for business decisions.
9. Customer Content and Data Processing
You retain ownership of Content you provide, subject to the license below. You grant us a worldwide,
non-exclusive license to use, host, reproduce, and process Content as necessary to provide, maintain,
secure, and improve the Service.
We process Caller Data and related call content on your instructions and as described in our
Privacy Policy. You represent that you have all rights,
permissions, and legal bases necessary for us to process Caller Data and Content on your behalf.
10. Third-Party Services
The Service relies on third-party providers for functions such as payment processing, telephony and call
routing, AI voice and transcription, email and SMS delivery, analytics, advertising measurement, anti-abuse
protection, and cloud hosting. Those providers operate under their own terms and privacy policies.
We are not responsible for third-party services, outages, or acts beyond our reasonable control. Your use
of integrated third-party services may be subject to additional terms imposed by those providers.
11. Intellectual Property
The Service, including its software, design, branding, documentation, and underlying technology, is owned
by Hoshi Brands or its licensors and is protected by intellectual property laws. Except for the limited
rights expressly granted in these Terms, no rights are transferred to you.
You may not use our trademarks, logos, or branding without prior written consent.
12. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available"
basis. We disclaim all warranties, whether express, implied, or statutory, including implied warranties of
merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components,
or that AI outputs will meet your expectations or business requirements.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Hoshi Brands and its affiliates, officers, directors,
employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary,
or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or anticipated savings,
arising out of or related to the Service or these Terms, even if we have been advised of the possibility of
such damages.
To the maximum extent permitted by applicable law, our total aggregate liability arising out of or related
to the Service or these Terms will not exceed the greater of (a) the amounts you paid to us for the Service
in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).
Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, our liability
is limited to the fullest extent permitted by law.
14. Indemnification
You will defend, indemnify, and hold harmless Hoshi Brands and its affiliates, officers, directors,
employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses
(including reasonable legal fees) arising out of or related to:
- Your use of the Service or Content you provide.
- Your violation of these Terms or applicable law.
- Your failure to provide required call-recording disclosures or obtain required Caller consents.
- Claims by Callers or third parties relating to Caller Data, recordings, transcripts, SMS messages, or other communications handled through your Account.
- Your telephony configuration, forwarding setup, or business representations made through the Service.
15. Suspension and Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your
access immediately if you violate these Terms, fail to pay applicable fees, pose a security or legal risk,
or if we are required to do so by law or a third-party provider.
Upon termination:
- Your right to access the Service and dashboard will end, subject to any data-export or retention obligations described in our Privacy Policy.
- Allocated routing numbers may be released and reassigned.
- Provisions that by their nature should survive termination will survive, including payment obligations accrued before termination, disclaimers, limitations of liability, and indemnification.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware and the United States, without regard to
conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be
subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware,
unless mandatory consumer protection laws in your jurisdiction require otherwise.
Before initiating formal proceedings, you agree to contact us at
support@vroomcalls.com and attempt to resolve the dispute informally.
17. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the effective date above and, where
appropriate, provide additional notice. Your continued use of the Service after changes become effective
constitutes acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using
the Service and cancel your subscription.
18. General
- These Terms, together with the Privacy Policy and any order or plan details presented at checkout, constitute the entire agreement between you and Hoshi Brands regarding the Service.
- If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.
- Our failure to enforce any provision is not a waiver of our right to do so later.
- You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
